AGREEMENT TO OUR LEGAL TERMS

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Market Strategy Consulting Company Limited (company number 0319362050), doing business as MSC ("Company," "we," "us," or "our"). The Company is registered in Vietnam with its principal place of business at Paragon Building, 3 Nguyen Luong Bang Street, Ho Chi Minh City 700000.

We operate the website https://www.msc‑vietnam.com/ (the "Site" or the "Website"). These Legal Terms govern your access to and use of the Website. By accessing or using the Website you acknowledge that you have read, understood and agree to be bound by these Legal Terms. IF YOU DO NOT AGREE TO ALL OF THESE LEGAL TERMS, YOU ARE PROHIBITED FROM ACCESSING OR USING THE WEBSITE AND MUST DISCONTINUE USE IMMEDIATELY.

We may post supplemental terms and conditions or documents on the Website from time to time. Those documents are expressly incorporated by reference. We reserve the right, in our sole discretion, to amend or modify these Legal Terms at any time. Any changes will be effective upon posting the revised Legal Terms on the Website, as indicated by the updated “Last updated” date above. It is your responsibility to review these Legal Terms periodically to remain informed of any updates. Your continued use of the Website following the posting of revised Legal Terms constitutes your acceptance of such changes. The Website is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use the Website.

1. WEBSITE PURPOSE

The Website is provided solely for informational purposes, including:

  • Providing information about the Company and its activities;

  • Publishing articles, blog posts and industry insights; and

  • Allowing users to contact the Company or submit enquiries.

Visiting or using the Website does not create a contractual relationship for consulting services. Submission of an enquiry does not create a binding agreement. Users accessing the Website from outside Vietnam are responsible for compliance with their local laws.

3. NO USER ACCOUNTS OR USER‑GENERATED CONTENT

The only information users may submit through the Website is limited to enquiries or requests for services submitted via contact forms or email. By submitting an enquiry, you confirm that:

  • The enquiry does not contain unlawful, defamatory or misleading content.

4. PROHIBITED ACTIVITIES

We reserve the right, but not the obligation, to:

Data Hosting and International Transfers

The Website is hosted on infrastructure provided by Wix.com Ltd., which may process and store data on servers located in Israel and other jurisdictions. Where personal data is transferred or processed outside Vietnam, such transfers shall, where applicable, be conducted in accordance with applicable data protection laws and reasonable safeguards. Nothing herein shall be construed as the Company accepting the applicability of any foreign data protection regime beyond mandatory requirements under applicable law.

7. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Website. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Website (including blocking certain IP addresses) to any person for any reason or no reason, including for breach of these Legal Terms or any applicable law or regulation. We may terminate your access to the Website at any time without warning.

8. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify or remove the contents of the Website at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on the Website. We will not be liable to you or any third party for any modification or discontinuance of the Website.

We cannot guarantee the Website will be available at all times. We may experience hardware, software or other problems or need to perform maintenance, resulting in interruptions, delays or errors. These Legal Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict‑of‑law principles.

10. CORRECTIONS

There may be information on the Website that contains typographical errors, inaccuracies or omissions, including descriptions, availability and other information. We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information on the Website at any time without prior notice.

11. LIMITATIONS OF LIABILITY

In no event will we or our directors, employees or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, lost revenue, loss of data or other damages arising from your use of the Website, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising. Certain laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages; if these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

You agree to defend, indemnify and hold us harmless, including our subsidiaries, affiliates and all of our respective officers, agents, partners and employees, from and against any loss, damage, liability, claim or demand (including reasonable attorneys’ fees and expenses) made by any third party due to or arising out of: (1) your use of the Website; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

While we implement reasonable technical and organizational measures to protect such information, no method of transmission over the Internet or electronic storage is completely secure. 16. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Website constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control.

If any provision or part of a provision of these Legal Terms is determined to be unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or your use of the Website. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties.

The content on the Website (including articles, news and analysis) is provided for general informational purposes only and does not constitute professional advice, legal advice or a substitute for a specific consulting engagement.
